Important Notice

Please read these Terms of Service carefully before using assistaNDT. By accessing or using the Service, you agree to be bound by these Terms. If you disagree with any part of these Terms, you may not access the Service.

1. Acceptance of Terms

By accessing and using assistaNDT ("the Service"), you accept and agree to be bound by the terms and provisions of this agreement. If you do not agree to these Terms of Service, please do not use the Service.

These Terms of Service apply to all users of the Service, including without limitation users who are browsers, vendors, customers, merchants, and/or contributors of content.

Please read these Terms of Service carefully before accessing or using the Service. By accessing or using any part of the Service, you agree to be bound by these Terms of Service.

2. Description of Service

assistaNDT is a web-based platform designed for Non-Destructive Testing (NDT) organizations to manage employee certifications, create and administer examinations, maintain question banks, and track compliance requirements.

The Service includes but is not limited to:

  • Employee certification tracking and management
  • Question bank creation and maintenance
  • Examination generation and administration
  • Compliance monitoring and notifications
  • Document generation for certifications and exams
  • Company profile and settings management

We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time, with or without notice.

3. Subscription Plans and Pricing

assistaNDT offers subscription-based access to the Service with the following plans:

Basic Plan:

  • 24-Month (Annual): $2,500.00
  • Monthly: $121.88/month
  • Includes: Up to 3 user accounts, single company, up to 10 employees, Employee Management, Company Profile, Employee Certifications, and Certification Documents
  • Does not include: Question Bank, Exam Creation, or Advanced Reports

Pro Plan:

  • 24-Month (Annual): $3,500.00
  • Monthly: $170.63/month
  • Includes: Up to 5 user accounts, single company, up to 10 employees, up to 5 exams, all Basic features, plus Question Bank Management, Exam Creation & Management, Advanced Certification Settings, Compliance Reports Dashboard, and Priority Support

Contractor Plan:

  • 24-Month (Annual): $5,000.00
  • Monthly: $243.75/month
  • Includes: Up to 10 user accounts, unlimited companies, 10 employees per company, 5 exams per company, all Pro features, plus Company Switching Interface, Isolated Data per Company, and Priority Support
  • Designed for contractors managing multiple client companies

Corporation Add-on:

  • Additional $200.00 (flat fee, applied per billing period)
  • Increases employee limit to 20 employees per company
  • Provides unlimited exams per company
  • Available for Basic, Pro, and Contractor plans

Enterprise Add-on:

  • Additional $500.00 (flat fee, applied per billing period)
  • Removes all limits on employees, exams, and questions per company
  • Includes priority support and dedicated account manager
  • Available for Basic, Pro, and Contractor plans
  • Supersedes Corporation Add-on if both are selected

Important — Question Bank: assistaNDT does not include any pre-built exam questions. All question content must be authored by the subscribing organization. The platform provides infrastructure for question authoring, filtering, and exam generation only.

All prices are in USD and subject to applicable taxes. Pricing is subject to change with 30 days advance notice to existing subscribers.

4. Payment Terms

Payment and Billing:

  • All subscription fees are billed in advance
  • Annual subscriptions are billed once per year on your subscription anniversary date
  • Monthly subscriptions are billed on the same day each month
  • Payment must be made via credit card (no debit cards) or ACH direct debit
  • All fees are non-refundable except as expressly stated in these Terms or as required by law
  • You are responsible for all taxes, fees, and charges associated with your subscription

Payment Methods and Processing Fees:

  • Credit Card (no debit cards accepted): 2.90% + $0.30 per transaction
  • International Credit Cards: Additional 1.5% fee applies
  • Currency Conversion: Additional 1% fee if paying in non-USD currency
  • ACH Direct Debit: 0.80% per transaction (capped at $5.00 maximum)

Applicable Taxes:

  • Washington State Sales Tax: 6.5% applied to all transactions
  • Skagit County Local Tax: 2.4% applied to all transactions
  • All taxes are calculated on the base subscription price before processing fees

Failed Payments:

  • If payment fails, we will attempt to notify you via email
  • You will have 7 days to update payment information
  • Continued failure to pay may result in account suspension or termination
  • Access to the Service will be restored upon successful payment

Account Restoration for Monthly Subscribers:

  • Monthly subscriptions operate on a 12-month commitment cycle starting from your initial subscription date
  • If your account is suspended due to non-payment, restoration requires payment of the remaining months in your current yearly cycle
  • Example: If you started your monthly plan in January, made 2 successful payments (January and February), but the third payment (March) fails, you must pay for the remaining 10 months (March through December) at once to restore service
  • Basic Plan example: 10 remaining months × $121.88 = $1,218.80 to restore
  • Pro Plan example: 10 remaining months × $170.63 = $1,706.30 to restore
  • Contractor Plan example: 10 remaining months × $243.75 = $2,437.50 to restore
  • This policy ensures commitment to the service and discourages payment interruptions
  • After completing the 12-month cycle, you may continue with regular monthly billing or switch to annual billing

Account Restoration for Annual Subscribers:

  • Annual subscribers who miss their renewal payment will need to pay their full annual renewal amount to restore access
  • No prorated payments are available for annual subscriptions
  • The annual renewal amount will be based on the current pricing at the time of restoration
5. Plan Limitations

All subscription plans have specific limitations unless the Unlimited Add-on is purchased:

Basic Plan Limits:

  • Maximum 10 employees
  • No exam creation capability

Pro Plan Limits:

  • Maximum 10 employees
  • Maximum 5 saved exams

Contractor Plan Limits:

  • Unlimited companies
  • Maximum 10 employees per company
  • Maximum 5 saved exams per company

Corporation Add-on:

  • Increases employee limit to 20 employees per company
  • Provides unlimited exams per company
  • No restrictions on data storage

Enterprise Add-on:

  • Removes all limits on employees per company
  • Removes all limits on exams per company
  • Removes all limits on questions per company
  • Priority support and dedicated account manager
  • No restrictions on data storage

If you reach your plan's limits, you must either:

  • Delete existing records to make room for new ones
  • Upgrade to the Corporation Add-on ($200) for 20 employees and unlimited exams
  • Upgrade to the Enterprise Add-on ($500) for unlimited employees, exams, and questions
  • Contact us to discuss custom solutions

Attempting to exceed plan limits will result in error messages preventing creation of additional records.

6. Trial Period

We offer a 30-day free trial period for new users:

• Trial access begins immediately upon registration

  • Full access to all Pro plan features with Enterprise add-on during the trial period
  • No credit card required to start trial
  • Access automatically expires after 30 days unless payment is completed
  • Trial periods are offered at our sole discretion and may be modified or discontinued at any time
  • One trial period per company
  • Trial extensions may be granted at our discretion

After your trial expires, you must subscribe to a paid plan to continue using the Service. If payment is not received, your account will be suspended and access will be restricted.

7. Billing and Automatic Renewal

Automatic Renewal:

  • All subscriptions automatically renew at the end of each billing period
  • You will be charged the then-current rate for your plan
  • Renewal charges are processed automatically using your payment method on file
  • You will receive a notification before each renewal period

Cancellation:

  • You may cancel your subscription at any time
  • Cancellation must be made at least 24 hours before your next billing date
  • Upon cancellation, you will retain access until the end of your current billing period
  • No refunds are provided for partial months or unused portions of annual subscriptions
  • After cancellation, your account will be downgraded to read-only access
  • Data will be retained for 30 days after cancellation, after which it may be permanently deleted

8. Price Changes

We reserve the right to modify our pricing at any time:

• Price changes will be communicated at least 30 days in advance via email

  • For existing subscribers, price changes take effect at your next renewal
  • You have the right to cancel your subscription before the price increase takes effect
  • Continuing to use the Service after a price increase constitutes acceptance of the new pricing
  • Annual subscribers are protected from price increases until their annual renewal date
  • The Unlimited Add-on fee may be adjusted with the same 30-day notice period

If you do not agree to a price increase, you must cancel your subscription before the increase takes effect.

9. User Accounts and Registration

To access certain features of the Service, you must register for an account. When you register, you agree to:

• Provide accurate, current, and complete information during registration

  • Maintain the security of your password and account
  • Accept responsibility for all activities that occur under your account
  • Notify us immediately of any unauthorized use of your account

You are responsible for maintaining the confidentiality of your account credentials. You agree that you are fully responsible for all activities that occur under your account or password.

We reserve the right to refuse service, terminate accounts, or remove or edit content in our sole discretion.

10. Company Accounts and Data Isolation

assistaNDT operates on a multi-tenant model where each company's data is isolated by a unique Company UUID:

• Each company account is assigned a unique Company UUID

  • Only users associated with a specific Company UUID can access that company's data
  • Company administrators are responsible for managing user access to their company account
  • Sharing Company UUIDs should be done securely and only with authorized personnel

Users may be assigned either Administrator or User roles:

  • Administrators have full access to manage employees, questions, exams, and settings
  • Users have view-only access to company data (configurable by administrators)

Subscription plans apply per company, not per user. All users within a company share the same plan limits.

11. User Content and Responsibilities

You are solely responsible for all data, information, and content you submit, upload, or display through the Service ("User Content"), including:

• Employee information and certification records

  • Examination questions and answers
  • Company profiles and logos
  • Any other data or files uploaded to the Service

You represent and warrant that:

  • You own or have the necessary rights to all User Content
  • Your User Content does not violate any third-party rights
  • Your User Content complies with these Terms of Service and all applicable laws
  • You have obtained all necessary consents and permissions to use and share User Content

We do not claim ownership of your User Content. However, by uploading User Content to the Service, you grant us a license to use, store, copy, and display your User Content as necessary to provide the Service to you.

12. Acceptable Use Policy

You agree not to use the Service to:

• Violate any applicable laws, regulations, or third-party rights

  • Upload or transmit viruses, malware, or any other malicious code
  • Attempt to gain unauthorized access to the Service or related systems
  • Interfere with or disrupt the Service or servers
  • Impersonate any person or entity, or misrepresent your affiliation
  • Harvest or collect information about other users without consent
  • Use the Service for any unlawful, harmful, or fraudulent purpose
  • Share access credentials with unauthorized parties
  • Attempt to reverse engineer, decompile, or disassemble any part of the Service
  • Circumvent plan limitations or usage restrictions

We reserve the right to investigate and take appropriate legal action against anyone who violates this Acceptable Use Policy.

13. Intellectual Property Rights

The Service and its original content (excluding User Content), features, and functionality are and will remain the exclusive property of assistaNDT and its licensors.

The Service is protected by copyright, trademark, and other laws. Our trademarks and trade dress may not be used in connection with any product or service without our prior written consent.

You may not:

  • Copy, modify, distribute, sell, or lease any part of the Service
  • Reverse engineer or attempt to extract the source code of the Service
  • Use any automated system to access the Service in a manner that sends more requests than a human can reasonably produce
  • Remove or modify any copyright, trademark, or other proprietary notices
14. Data Security and Privacy

We take reasonable measures to protect the security of your data and maintain its confidentiality. However, no method of transmission over the Internet or electronic storage is 100% secure.

Data Security Measures:

  • All data is isolated by Company UUID
  • Secure authentication through the Base44 platform
  • Encrypted data transmission
  • Regular security updates and monitoring
  • Access controls based on user roles

Your Responsibilities:

  • Maintain the confidentiality of your login credentials
  • Use strong passwords and change them regularly
  • Report any security breaches immediately
  • Ensure your team members follow security best practices

15. Backup and Data Loss

While we take regular backups of the Service, you are solely responsible for maintaining your own backup copies of your User Content.

We recommend that you:

  • Regularly export your data using our backup features
  • Maintain local copies of important documents and records
  • Keep copies of any critical information outside the Service

We are not responsible for any loss or corruption of your data, or for any costs or expenses associated with backing up or restoring your data.

In the event of data loss, our liability is limited to attempting to restore data from our most recent backup, but we make no guarantees regarding the success or completeness of such restoration.

16. Service Modifications and Availability

We reserve the right to:

• Modify, suspend, or discontinue any part of the Service at any time

  • Add or remove features and functionality
  • Update or change the Service's technical requirements
  • Impose limits on certain features or restrict access to parts of the Service
  • Adjust plan features and limitations with 30 days notice

We strive to maintain high availability of the Service, but we do not guarantee that:

  • The Service will be available at all times or without interruption
  • The Service will be error-free or that defects will be corrected
  • The Service will meet your specific requirements
  • Results obtained from the Service will be accurate or reliable

Scheduled maintenance and updates may require temporary service interruptions. We will attempt to provide advance notice when possible.

17. Third-Party Services and Links

The Service may contain links to third-party websites, applications, or services that are not owned or controlled by assistaNDT.

We have no control over, and assume no responsibility for:

  • The content, privacy policies, or practices of any third-party services
  • Any damage or loss caused by your use of third-party services
  • Any transactions you enter into with third parties

Your use of third-party services is at your own risk. You should review the terms and policies of any third-party services before using them.

The inclusion of any link does not imply endorsement by assistaNDT.

18. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ASSISTANDT SHALL NOT BE LIABLE FOR:

• Any indirect, incidental, special, consequential, or punitive damages

  • Loss of profits, revenue, data, or use
  • Business interruption or system failures
  • Cost of substitute services
  • Any damages arising from your use or inability to use the Service

THIS LIMITATION APPLIES WHETHER THE ALLEGED LIABILITY IS BASED ON CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR ANY OTHER BASIS.

Our total liability to you for all claims arising from or relating to the Service shall not exceed the amount you paid to us in the 12 months preceding the claim, or $1,000, whichever is greater.

Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you.

19. Indemnification

You agree to indemnify, defend, and hold harmless assistaNDT and its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or in any way connected with:

• Your access to or use of the Service

  • Your User Content
  • Your violation of these Terms of Service
  • Your violation of any rights of another party
  • Any actions taken by others using your account
  • Your failure to pay subscription fees or other charges

This defense and indemnification obligation will survive termination of these Terms of Service and your use of the Service.

20. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason, including:

• Breach of these Terms of Service

  • Non-payment of subscription fees (after 7-day grace period)
  • Fraudulent, abusive, or illegal activity
  • Exceeding plan limitations through unauthorized means
  • At your request
  • For any other reason at our sole discretion

Upon termination:

  • Your right to use the Service will immediately cease
  • Your subscription will be cancelled without refund
  • We may delete your account and User Content after 30 days
  • You remain liable for any outstanding fees or obligations
  • You will no longer have access to any data stored in the Service

Sections of these Terms that by their nature should survive termination shall survive, including payment obligations, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

You may terminate your account at any time by contacting us. You are responsible for properly canceling your subscription to avoid future charges.

21. Warranty Disclaimer

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.

WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:

  • Implied warranties of merchantability
  • Fitness for a particular purpose
  • Non-infringement
  • Accuracy, reliability, or completeness of content
  • That the Service will be uninterrupted, secure, or error-free

We do not warrant that:

  • The Service will meet your specific requirements
  • Any defects will be corrected
  • The Service is free from viruses or other harmful components
  • Results obtained from the Service will be accurate or reliable
  • Plan limitations will never be exceeded

Your use of the Service is at your sole risk. You are solely responsible for any damage to your computer system or loss of data resulting from use of the Service.

22. Compliance with Laws and Regulations

You agree to comply with all applicable laws and regulations in your use of the Service, including but not limited to:

• Employment and labor laws

  • Data protection and privacy regulations (GDPR, CCPA, etc.)
  • Industry-specific regulations (ASNT standards, etc.)
  • Export control laws
  • Anti-spam and anti-fraud regulations
  • Tax laws and regulations

If you are using the Service to maintain NDT certification records, you are responsible for ensuring compliance with all relevant certification and regulatory requirements.

You represent and warrant that:

  • You are not located in a country subject to a U.S. Government embargo
  • You are not listed on any U.S. Government list of prohibited or restricted parties
  • You will not use the Service in violation of any export control or sanctions laws
  • You have the legal authority to enter into this agreement and make payments
23. Governing Law and Dispute Resolution

These Terms of Service shall be governed by and construed in accordance with the laws of the United States and the state in which assistaNDT operates, without regard to its conflict of law provisions.

Dispute Resolution:

  • Any disputes arising from these Terms or your use of the Service shall first be attempted to be resolved through good faith negotiations
  • If negotiations fail, disputes shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association
  • You agree to arbitrate disputes on an individual basis only, not as a class action

Exceptions to Arbitration:

  • Either party may seek injunctive relief in court
  • Disputes relating to intellectual property rights
  • Claims of violations of these Terms
  • Collection of unpaid fees

You agree that any legal action must be commenced within one year after the claim or cause of action arises, or such claim shall be permanently barred.

24. Changes to Terms of Service

We reserve the right to modify or replace these Terms of Service at any time at our sole discretion.

When we make changes:

  • We will update the "Last Updated" date at the top of this page
  • For material changes, we will provide prominent notice (email notification or notice in the Service)
  • Changes to pricing will be communicated at least 30 days in advance
  • Your continued use of the Service after changes take effect constitutes acceptance of the new Terms

You are responsible for reviewing these Terms of Service periodically. If you do not agree to the modified Terms, you must stop using the Service and cancel your subscription.

We may also update or change the Service itself, including plan features and limitations, and these changes may require you to accept new or updated Terms of Service before you can continue using the Service.

26. Severability and Waiver

Severability: If any provision of these Terms of Service is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that these Terms shall otherwise remain in full force and effect and enforceable.

Waiver: Our failure to enforce any right or provision of these Terms of Service will not be considered a waiver of those rights. Any waiver of any provision of these Terms will be effective only if in writing and signed by an authorized representative.

Entire Agreement: These Terms of Service, together with our Privacy Policy and any other legal notices published by us on the Service, constitute the entire agreement between you and assistaNDT concerning the Service and supersede all prior agreements and understandings.

27. Assignment

You may not assign or transfer these Terms of Service or your rights and obligations under them, in whole or in part, without our prior written consent.

We may freely assign or transfer these Terms of Service and our rights and obligations under them, in whole or in part, including:

  • In connection with a merger, acquisition, or sale of assets
  • By operation of law
  • To any affiliate or subsidiary

Any attempted assignment by you in violation of this section shall be null and void.

Subscriptions and payment obligations are non-transferable between companies.
